By utilizing the Nash Platform or indicating consent to these Nash Marketplace Customer Terms of Service (the "Terms"), you acknowledge agreement to all terms herein. Nash Technologies is referred to as "Nash," and you as "Customer." Nash and Customer are collectively the "Parties."
Scope
These Payment Terms cover ACH and credit card authorization, third-party processor (Stripe) handling, fees and surcharges, failed-payment interest, and billing disputes. They are part of, and incorporated by reference into, the Nash Marketplace Customer Terms of Service. The full agreement covering platform use, support, term and termination, confidentiality, disclaimer, liability, indemnification, dispute resolution, and general prohibitions lives at /legal/platform-agreement.
Payment Method authorization
Customer provides accurate, complete payment information (credit card, debit card, or ACH — "Payment Method") enabling Nash charging for amounts due. Payments charge per Customer's Nash account creation schedule or as Parties agree.
By providing the Payment Method to Nash, Customer authorizes Nash and our payment processor to collect, store, transfer, and charge the Payment Method, at a schedule determined by Nash, for an amount equivalent to the total Nash Delivery Fees that are owed to Nash as well as any additional fees, taxes, or surcharges that may apply.
If Customer's primary Payment Method is determined to be expired, invalid, or otherwise not able to be charged, Customer agrees that we may use a secondary Payment Method in Customer's account, if available. We reserve the right to revoke access to any feature, product, or component of the Nash Platform in the event that we are unable to charge the Payment Method for amounts that are due.
Customer must provide and maintain a current, complete and accurate Payment Method. Customer represents and warrants that Customer has the legal right to use any such Payment Method.
Fees & orchestration
In addition to fees that will be due to the Delivery Provider, Customer shall also pay any and all other fees presented conspicuously to Customer by Nash, including but not limited to platform fees, service fees, catering and other task specific fees, and Nash delivery orchestration fees. Charges paid by Customer are final and non-refundable, unless otherwise determined by Nash.
Stripe processing
Nash uses Stripe, Inc. and affiliates ("Stripe") as third-party payment processor. Services follow Stripe terms and conditions and other policies, available at https://stripe.com/legal, and Stripe's Global Privacy Policy at https://stripe.com/privacy (collectively, "Stripe Agreements").
By agreeing to these Terms, Customer agrees to the Stripe Agreements as Stripe modifies them. Customer authorizes Stripe storing and continuing Payment Method billing after Payment Method expiration, avoiding payment interruptions. Contact Stripe for further details.
Nash assumes no liability or responsibility for any payments Customer makes for use of the Nash Platform. Nash reserves the right to correct any errors or mistakes the payment processor makes even if it has already requested or received payment.
Failed payments & interest
If Nash, through the payment processor, does not receive payment from Customer, Customer agrees to pay all amounts due on the account upon demand. Customer authorizes Nash to attempt repeat charges on the Payment Method if an initial attempt to charge fails.
Failed or rejected payments — ACH debits or card charges that are not attributable to the Company — accrue interest at the rate of 10% per annum from the scheduled debit date until paid in full.
Billing disputes
Customer pays all non-disputed invoice fees timely. Disputes or questions regarding a specific invoice or charge should be raised in writing to accounting@usenash.com before the due date or, where applicable, within 30 days of the charge date.
Data protection
Nash acknowledges Customer may share certain individual personal information ("Personal Information") with Nash in the course of Platform use. Nash acts only as a processor — or vendor — regarding such Personal Information, having no independent rights to use or share it beyond service performance for Customer per this Agreement or Customer written request. The full processor obligations live in the Data Protection & Security Addendum.
Modifications
Customer agrees Nash may modify these Payment Terms periodically. Material Terms changes result in Nash electronic mail, Nash Platform notices, or other communication. Terms changes take effect on (i) the earlier of dates Customer accepts new terms by using the Nash Platform after notice receipt or otherwise or (ii) 30 calendar days following Customer notice receipt.
